Job Description


ROLE OBJECTIVE

To ensure administrative responsibilities set out in company law are properly carried out, ensure compliance and effective governance and assistance is provided to the Board of Directors in execution of their tasks.
 
KEY RESPONSIBILITIES

(A) Financial Perspective

  • Ensure adherence to the Department budget
  • Minimize cost escalations due to fines/penalties levied due to non-adherence to Governance norms
(B) Customer Perspective
  • Ensure effective redressal of investor / shareholder grievances
(C) Internal Process Perspective
  • Establish and drive implementation of Corporate Governance norms to ensure transparency in all operations
  • Ensure compliance with the statutory requirements and regulations prescribed under the Companies Act, FEMA, FDI and all other applicable legislations
  • Prepare and file necessary forms and returns with the Ministry of Corporate Affairs, RBI and other relevant authorities
  • Coordinate Organization meetings of Board / Committees / Shareholders, manage proceedings and draft agenda and minutes of the same in a timely manner; Ensure maintenance of all documentation as per statutory requirements
  • Ensure compliance / follow-up on all decisions of the Board; Provide information and guidance on the Companies Act and other related laws to the Senior / Middle Management; Prepare summaries to circulate to them
  • Ensure timely submission of all necessary legal documentation (forms / returns) such as filing of annual accounts, annual returns and other returns and forms with the Registrar of Companies and other statutory bodies
  • Liaise and build relations with the Registrar of Companies, CLB, CLT, Depositories, SEBI, MCA, Stock Exchanges and other statutory authorities; Periodically provide returns/forms required by them
  • Liaise and coordinate with the NSDL, CDSL, Share Transfer Agents and Registrars etc. of the Organization for transfer, transmission and dematerialisation of securities
  • Monitor for changes in relevant legislation and regulatory environment and formulate appropriate action steps to manage the same
  • Drive safe custody of original agreements, contracts, major court orders, certificate of incorporation of company, commencement of business, land acquisition papers, licenses and approvals and all regulatory filings / reports
  • Support decision making by providing timely updates to senior management on strategic matters with respect to the legal and compliance areas affecting the Organization
  • Drive implementation of SAP in the Department and monitor adherence to SAP reporting requirements and guidelines
  • Direct the identification of the MIS requirements monitoring the company's performance and identify information to be captured by each department to facilitate preparation of the MIS
  • Oversee the timely preparation and submission of department MIS
  • Contribute to the Knowledge Management initiatives of the Department
(D) People Perspective
  • Ensure timely completion of performance management processes for self and subordinate
  • Ensure completion of individual training and development requirements
